II. General Terms and Conditions

1. Scope and eligibility

1.1. These Terms apply to the Platform and to the purchase, access and use of Perfect Trademark™ educational courses and Digital Materials.

1.2. “Digital Materials” means Perfect Trademark™ online educational courses, videos, PDFs, workbooks, templates and other educational or informational digital content, resources or other materials made available through or in connection with our platform.

1.3. Digital Materials are educational and informational products. Unless expressly stated otherwise for a particular offering, a purchase does not include personalised legal services, trademark representation or the preparation or filing of applications on behalf of the customer.

1.4. Purchases may only be made by persons who are at least 18 years old.

2. Product information

2.1. The main characteristics of the Digital Materials, including relevant content, format and price are provided on the Perfect Trademark™ platform.

2.2. Customers are responsible for reviewing the information made available before purchase and determining whether the Digital Materials are appropriate for their intended purpose.

3. Orders and contract formation

3.1. Customers must provide complete and accurate information reasonably required to process the purchase, payment, billing and applicable tax treatment.

3.2. A contract governed by these Terms is concluded when the purchase has been successfully completed, creating an obligation to pay the stated total price.

3.3. We may decline or cancel an order where reasonably justified, including where:

  • payment has not been successfully completed;
  • materially inaccurate information has been provided;
  • fraud, misuse or unlawful activity is reasonably suspected;
  • the transaction would violate applicable law; or
  • an obvious material pricing or technical error has occurred.

4. Prices, VAT and payment

4.1. Consumer prices will include applicable VAT where the applicable rate can be determined.

4.2. Where the applicable VAT depends on information obtained during the purchasing process, the total VAT-inclusive amount will be provided before the purchase is completed.

4.3. Banks, payment providers or other third parties may independently apply currency-conversion, transaction or other charges outside our control.

4.4. A handling fee of up to EUR 40 may apply where:

  • the customer requests a material amendment to a correctly issued invoice;
  • the amendment results from inaccurate information supplied by the customer;
  • exceptional manual accounting or tax work is required; and
  • the fee is disclosed before such work is carried out and reflects reasonable administrative costs.

5. Delivery and access

5.1. Digital Materials are supplied electronically and may be made available through such digital delivery methods or online platforms.

5.2. Access to all purchased Digital Material is provided for 12 calendar months from the date of purchase.

5.3. Online access expires automatically at the end of the applicable access period. Expiry does not result in an automatic renewal or additional charge.

5.4. Access is personal to the purchaser and may not be transferred, shared or made available to another person except where expressly authorised by us.

5.5. Digital Materials may be downloaded only where downloading is permitted. Any downloaded materials remain subject to these Terms and our intellectual-property rights after online access expires.

5.6. We may maintain records of access to and use of Digital Materials where reasonably necessary to:

  • supply and administer the Digital Materials;
  • maintain customer accounts;
  • record course progress;
  • determine eligibility under the Refund Policy;
  • prevent misuse;
  • protect our rights; or
  • comply with legal obligations.

Further information is provided in our Privacy Policy.

5.7. Where a course contains an Introduction module, this means the part of the course identified as the Introduction in connection with that course.

6. Statutory right of withdrawal

6.1. Consumers have the right to withdraw from a distance contract within 14 calendar days from conclusion of the contract, without giving a reason.

6.2. Where a consumer receives access to Digital Materials during the 14-day withdrawal period, access will be provided only after the consumer has expressly consented to supply beginning during that period and acknowledged that the statutory right of withdrawal will be lost once supply begins.

6.3. Once supply of the Digital Materials begins following such consent and acknowledgement, the statutory right of withdrawal is lost in accordance with applicable law.

6.4. Where the statutory right of withdrawal remains available, it may be exercised by an unequivocal notice sent to [email protected]. Any refund due following a valid statutory withdrawal will be made in accordance with applicable law.

7. Refund Policy

7.1. In addition to any statutory rights, Intellectual Agency offers the following Refund Policy.

Online courses

7.2. A full refund may be requested within 14 calendar days from purchase where the course has not been accessed at all, or where only the Introduction module has been accessed or completed and no content following the Introduction module has been accessed.

7.3. Refund eligibility ends once any lesson, module, video, PDF, resource or other content following the Introduction module has been accessed.

Other Digital Materials

7.4. Where a Digital Material is offered without an Introduction module, eligibility for a voluntary refund may depend on whether the relevant Digital Material has already been accessed, opened, downloaded or otherwise supplied.

General refund conditions

7.5. Records relating to access and use of Digital Materials may be used to assess refund eligibility. Credible claims of technical error or unauthorised account access will be reviewed.

7.6. The Refund Policy does not apply where:

  • account or login details have been shared;
  • Digital Materials have been copied, recorded, redistributed, published or resold;
  • access has been obtained or used fraudulently;
  • our intellectual-property rights have been materially breached; or
  • a refund request is abusive or based on materially false information.

7.7. Refund requests must be submitted to [email protected] within the applicable refund period and contain sufficient information to identify the relevant purchase.

8. Digital-content conformity

8.1. If Digital Materials are defective, materially inaccessible or otherwise non-conforming, the customer should contact [email protected]

8.2. We may request reasonable cooperation in determining whether the issue originates from the Digital Materials or from the customer’s digital environment.

9. Updates and modifications

9.1. We may update or modify Digital Materials where reasonably necessary, including to:

  • correct errors or outdated information;
  • reflect changes in law, regulation, official procedure or industry practice;
  • improve content, functionality or accessibility;
  • maintain security or technical compatibility; or
  • maintain contractual conformity.

9.2. Such changes will not materially reduce the essential content or rights purchased by a Consumer except where permitted by applicable law.

10. Educational and legal disclaimer

11. Copyright & Intellectual Property

11.1. Perfect Trademark™ Digital Materials, including their videos, audio, PDFs, workbooks, templates, text, graphics, designs, methods, structure and other content, are owned by Intellectual Agency or its licensors and are protected by applicable intellectual-property laws.

11.2. A purchase grants the customer a limited, personal, non-exclusive, non-transferable and revocable licence to use the purchased Digital Materials for their own learning and permitted purposes.

11.3. Unless expressly authorised by us, customers may not:

  • share account credentials or access;
  • allow multiple persons to use an individual account;
  • record, reproduce or substantially copy Digital Materials;
  • distribute, publish, upload, communicate, license, sell or resell Digital Materials;
  • use substantial parts of the Digital Materials to create or provide a competing course, training product, publication, resource library or database;
  • remove copyright, trademark or ownership notices;
  • systematically scrape, harvest or extract content;
  • circumvent access or security restrictions.

11.4. We may investigate suspected breaches and take reasonable measures to protect our content, systems and intellectual-property rights.

11.5. Access may be suspended or terminated where there is reasonable evidence of serious misuse, including piracy, fraud, credential sharing, resale or unauthorised distribution.

11.6. Serious infringement may result in loss of eligibility under the Refund Policy and may lead to enforcement of available legal remedies.

12. Account security and misuse

12.1. Customers are responsible for taking reasonable measures to keep their account credentials secure and confidential.

12.2. Suspected unauthorised account access should be reported promptly.

12.3. We may take reasonable steps to verify account ownership or temporarily restrict access where necessary to protect security, investigate misuse or enforce these Terms.

13. Availability
